LLC Tax ReturnFour numbers, one treatment

The certificate creates the company. A separate choice decides which federal form the year is filed on. Page one prints that choice as a number.

Name your form

How the four numbers differ

One owner and no corporate election usually means there is no separate company income-tax return. The activity is reported on the owner's return, often on a schedule for a trade or a rental. People still call that packet the company return. The form number says otherwise.

When more than one person owns the company and no election was accepted, the year usually lands on a partnership form. That form computes the company's profit and then passes each owner's share out on a K-1. The K-1 is the handoff to the owner's own return, and a missing K-1 leaves that handoff unfinished.

An S election produces a different company return, and a C election produces yet another. Both are real corporate returns. They are not interchangeable with the partnership form, and they are not interchangeable with each other. Wages, distributions, and the company's own tax do not sit in the same boxes on all four.

Why memory is a weak source

Owners remember the conversation from the week the company opened. Someone said the word election, or nobody did. Years later the PDF arrives with a number that does not match that memory. The number wins. Memory is a clue about what you meant. The filed treatment is the number on the form.

The page we want next to the certificate is the acceptance, when an election was required. A form that was filled out and never mailed is a draft. The accepted letter, with its date, is what the filing follows. If that letter is missing from the drawer, we stop and ask for it before a signature is recommended.

A change of treatment is its own work, with its own timing. This page does not pretend there is a single revenue line that forces the change. Fit is about how money leaves the company, who else owns a share, and whether a lender already expects a particular form. Bring the certificate and any letter you have.

What we do with the number

Once the number is known, the books have a job. Equity accounts should already separate money you put in, money you took out, and profit. Wages, if the treatment requires them, should already be running through a provider you control. We help that provider exist. We do not run the paydays.

A return prepared on a guessed number gets thrown away when the letter turns up, or it gets filed and then amended. Waiting is the cheaper path. The signature can wait a week. An amendment cannot always undo a year that a bank already relied on.

If you can see the number tonight, send it with the form below. If you can only see a filename, send that too, and say you have not opened page one. We would rather start from the truth of what you have than from a tidy story.
